Terms of Service

These Terms apply to the Northbridge Software LLC website, inquiries submitted through it, fixed-scope service engagements, and online purchases when purchasing becomes available.

1. Identity and scope

The service provider is Northbridge Software LLC ("Northbridge", "we", "us"). Contact information is published on the Company Information and Support pages.

These Terms apply to use of nbsoftware.net, to inquiries and forms submitted through the site, to fixed-scope service engagements described on the site, and to online purchases when Northbridge later enables online purchasing.

Broader custom projects are governed by a written proposal, order confirmation, or statement of work signed by the customer and Northbridge. The website is not itself an agreement to perform a specific project.

2. Order of precedence

When documents conflict, the more specific written engagement document controls. The general order is: (1) a signed statement of work or separately executed agreement; (2) a written proposal, order confirmation, or approved project scope; (3) the product-specific scope and purchasing disclosure shown at the time of purchase; (4) these general website Terms.

Marketing copy on the website does not override a signed agreement.

3. Fixed-scope services

The prices published for fixed-scope products apply only to workflows and configurations that qualify for the stated scope. Implementation products require fit confirmation before Northbridge invoices or begins work.

Northbridge may decline a fixed-scope request that does not qualify. In that case Northbridge will explain why and recommend an appropriate next step, such as an Automation Blueprint, a consultation, or a custom proposal. The customer is not required to purchase a larger engagement.

Expanded requirements identified after scope confirmation are handled through a change request or a separate proposal. Purchasing a fixed-scope service does not create an unlimited development engagement, and a recommendation or estimate is not a guarantee of a particular business result.

4. Prices, currency, taxes, and third-party costs

Published product prices are in United States dollars (USD) unless expressly stated otherwise. Fixed-scope products are one-time professional-service engagements; they are not subscriptions.

Applicable taxes may be added where legally required. Third-party licenses, subscriptions, hosting, usage fees, API charges, platform fees, and external professional services are excluded unless expressly included in writing.

Customer-authorized third-party charges (for example, cloud hosting or SaaS subscriptions arranged on the customer's behalf) may be non-refundable after they have been incurred.

5. Payment terms

Payment timing is shown before purchase or in the applicable proposal. Northbridge may require full payment or milestone payments. Implementation work may not begin until the required payment, information, and access have been received.

Northbridge may pause work while an invoice is overdue and may resume once payment and any required information have been provided.

Refunds and cancellations are governed by the Refunds and Cancellations Policy.

When online payment processing is available, payment information may be collected and processed by an authorized third-party payment provider. Northbridge does not intend to store complete payment-card numbers or security codes on its own application systems.

6. Client responsibilities

Customers agree to provide accurate information; respond to reasonable clarification requests; provide lawful authorization for the accounts, systems, data, and integrations that Northbridge is asked to work with; maintain appropriate backups; review deliverables; identify suspected scope defects promptly; obtain any required internal or third-party approvals; and avoid providing unnecessary sensitive or regulated information.

Customer delay may move the delivery timeline. Northbridge will communicate material impacts when it can reasonably do so.

7. Delivery, review, and revisions

Delivery is governed by the Service Delivery Policy. Delivery timelines begin only after the applicable prerequisites are satisfied.

Deliverables may be provided through email, shared documents, source-code repositories, secure collaboration tools, demonstrations, or deployment to an approved environment.

Revision rounds are limited to the published or agreed scope. Requirements introduced after scope confirmation are new work, not defect remediation. Defect remediation addresses material nonconformity with the approved scope; stabilization periods do not constitute unlimited maintenance.

8. Intellectual property

Ownership and license rights for custom implementation work are governed by the applicable proposal, statement of work, or order confirmation.

Northbridge retains all rights in its pre-existing tools, libraries, methods, templates, general know-how, and reusable components used to deliver services. Customer-provided data and materials remain the customer's or applicable owner's property.

After full payment for the applicable engagement, customers may use the final Workflow Review or Automation Blueprint deliverable for their internal business purposes, unless a separate written agreement provides different rights.

9. Confidentiality and data

Each party may receive non-public information from the other in connection with an engagement. Each party agrees to use commercially reasonable measures to protect that information, to use it only for the engagement, and not to disclose it to third parties without authorization or a legal requirement to do so.

Handling of specialized regulated data (for example, protected health information, cardholder data, or export-controlled information) requires an express written agreement before such data is provided. 10. Acceptable and lawful use

The website and services may not be used to violate applicable law; infringe third-party rights; gain unauthorized access to systems; distribute malware; disrupt systems; conduct fraud or deception; or submit data that the customer has no lawful right to provide.

Customers agree to comply with applicable export-control and economic-sanctions laws in connection with the services.

11. No guaranteed business outcome

Northbridge does not guarantee any specific business outcome, including revenue, profit, savings, return on investment, regulatory approval, uninterrupted availability of third-party platforms, permanent compatibility with third-party APIs, or elimination of every operational error.

Northbridge is responsible for performing the agreed scope to a professional engineering standard.

12. Cancellation, suspension, and termination

Cancellation and refund rights are governed by the Refunds and Cancellations Policy.

Northbridge may pause or terminate work when payment is overdue; when required access or information is not provided within a reasonable time; when the requested work would be unlawful; when systems create an unacceptable security risk; or when the customer materially violates the applicable agreement.

13. Warranties, limitation of liability, indemnification

Except as expressly stated in a signed engagement document, the website and any information published on it are provided on an "as is" basis, without warranties of any kind, to the maximum extent permitted by law.

To the maximum extent permitted by law, Northbridge is not liable for indirect, incidental, special, consequential, or punitive damages arising out of or related to use of the website. Liability, indemnification, and warranty terms for specific engagements are governed by the applicable proposal, order confirmation, or statement of work.

Nothing in these Terms is intended to exclude any liability that cannot be excluded under applicable law.

14. Governing law and disputes

The governing law, venue, and dispute-resolution mechanism that apply to a specific engagement are set out in the applicable proposal or signed agreement.

The parties agree to attempt in good faith to resolve any dispute related to the website or an engagement through direct discussion before initiating a formal proceeding.

15. Changes to these Terms

Northbridge may update these Terms from time to time. The effective date and last-updated date at the top of this page identify the current version. Material changes to purchasing terms will be disclosed at or before the time of purchase.
